INCEDEO INC. SAAS AGREEMENT - Trial Version

This SaaS (Software-as-a-Service) contract is an agreement between Incedo and their users that lays out terms and conditions on how the users may access and use the service.

This SAAS Agreement ("Agreement") is entered into between Incedo Inc., a Delaware corporation ("Incedo"), and the user ("User").

1. GRANT OF LICENSE:

Incedo grants User a limited, non-exclusive, non-transferable license to access and use the Trial version of the Incedo Lighthouse™ platform ("Platform"), subject to the terms of this Agreement.

2. LIMITATIONS:

The Trial version grants User access to a fully functional platform; however, certain limitations apply. The usage of the Trial version is subject to a trial period, during which time the User is granted access to the platform. Additionally, users are required to utilize Incedo-provided sample data for testing purposes. The Trial version is provided for evaluation purposes only and is not intended for production use. Incedo reserves the right to impose limitations on data storage, processing capabilities, and other features at its discretion. Furthermore, users are prohibited from using their own data during the trial period, and any attempt to do so may result in the termination of access. The Trial version is solely intended for the User's internal evaluation and shall not be used for any commercial, production, or non-evaluative purposes without the explicit written consent of Incedo.

3. DATA USAGE:

Data submitted by User may be used for training purposes. The resultant intellectual property (IP) will belong to Incedo.

4. COMPLIANCE WITH GDPR:

Incedo agrees to process data in compliance with GDPR norms. Kindly refer to our Privacy Policy and Cookie Policy

5. USER OBLIGATIONS AND RESTRICTIONS:

User agrees to use the Trial version in accordance with the terms of this Agreement.

Incedo Lighthouse™ bears no responsibility for the use or consequences of the content generated by the AI language model. Users should exercise discretion and responsibility when generating prompts and using AI-generated content, ensuring that it aligns with ethical guidelines and legal standards.

6. TERMINATION:

Incedo reserves the right to terminate the Trial version at any time without notice.

7. DISCLAIMER OF WARRANTIES:

The Trial version is provided "as is" without warranties. Incedo disclaims all warranties, whether express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

8. LIMITATION OF LIABILITY:

Incedo shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of the Trial version.

9. INTELLECTUAL PROPERTY:

Any resultant IP from the use of User's data shall be the exclusive property of Incedo.

10. GOVERNING LAW:

This Agreement shall be governed by and construed in accordance with the laws of the state of New Jersey.

11. ENTIRE AGREEMENT:

This Agreement constitutes the entire understanding between Incedo and User regarding the Trial version and supersedes all prior agreements, whether oral or written.

12. AMENDMENTS:

Incedo reserves the right to modify this Agreement at any time. Users will be notified of any changes, and continued use of the Trial version constitutes acceptance of the modified terms.

BY CONTINUING THE TRIAL PERIOD, THE USER HEREBY ACKNOWLEDGES AND AGREES THAT SUCH CONTINUED USE SHALL CONSTITUTE ACCEPTANCE OF THIS SAAS AGREEMENT.
